These Terms of Service (“Terms”) govern your access to and use of the 3dverse websites, cloud platform, software, applications, APIs, SDKs, tools, documentation, and all related products and services (collectively, the “Services”) provided by 3dverse Technologies Inc. (“3dverse”, “we”, “us”, “our”).

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you may not use the Services.

If you use the Services on behalf of a business or organization, you represent that you are authorized to accept these Terms on their behalf.

1. Definitions

For purposes of these Terms:

  • Services: The 3dverse cloud-native real-time 3D platform, including:

    • The 3dverse Console for managing Personal Spaces, Organizations, Projects, Environments, Assets, Folders, roles, usage, and configuration

    • Cloud-based rendering, compute, and streaming infrastructure

    • Collaboration, visualization, and monitoring features

    • Developer tools including APIs, SDKs, and related documentation

    • Identity and access management

    • Asset hosting, storage, conversion, and optimization services

    • Any additional features or services we provide from time to time

  • Console: The web interface through which you access and manage the Services.

  • Personal Space: A private workspace associated with an individual user account. Projects created here are controlled by that user, unless access is shared to specific collaborators.

  • Organization: A shared workspace for a company, institution, or team, with centralized access control, billing, and usage limits.

  • Project: A container in the Console that holds the resources required for a 3dverse application, including Environments, Assets, configuration, and usage metrics.

  • Environment: An isolated operational area within a Project that includes its own Assets, users, and usage metrics. Changes in one Environment do not affect others.

  • Assets: Any content stored or processed through the Services, including 3D models, scenes, files, textures, scripts, data, or other media.

  • Folders: The primary unit of access control in an Environment. Permissions applied to a Folder apply to all Assets contained in that Folder and its subfolders.

  • Collaborators: Users you grant access to a Project, Environment, or specific content through the Services.

  • User Content: All Assets, Projects, configurations, data, and other content that you or your collaborators upload, create, or generate using the Services.

  • Production Environment: Any Environment in which the Services are used for real-world operations, internal or external business processes, or commercial use (including services provided to your customers or end users).

2. Eligibility and Accounts

  • You must be at least 16 years old to use the Services.

  • You must provide accurate and complete information when creating an account and keep it up to date.

  • You are responsible for all activity that occurs under your account.

  • You must promptly notify us if you become aware of any unauthorized access to or use of your account.

3. Access to the Services

Subject to these Terms and payment of any applicable fees, 3dverse grants you a limited, non-exclusive, non-transferable license to access and use the Services solely for your business purposes or personal use, as applicable, and in accordance with your subscription or agreement with 3dverse.

3dverse and its licensors retain all right, title, and interest in and to the Services, including all OS, infrastructure, documentation, and associated intellectual property rights, except for User Content, which belongs to you as described below.

You may not:

  • Copy, modify, or create derivative works of the Services;

  • Reverse engineer, decompile, or attempt to extract source code from the Services;

  • Use the Services to build or train a competing product or service.

4. Workspaces, Collaboration, and Permissions

You may create Projects either in your Personal Space or within an Organization.

  • In a Personal Space, you control Projects and may invite Collaborators to specific Projects.

  • In an Organization, Organization owners and administrators control Projects, Environments, roles, and billing.

Owners and administrators may:

  • Add or remove users and Collaborators

  • Assign and modify access rights at the Organization, Project, Environment, or Folder level

  • View and manage usage and subscription settings

  • Ensure that use of the Services complies with these Terms

By inviting Collaborators or adding users to an Organization, you represent and warrant that you are authorized to grant them access and that you remain responsible for their use of the Services under your account or Organization.

5. User Content and Intellectual Property

5.1 Ownership

As between you and 3dverse, you own and retain all rights, title, and interest in and to your User Content, including all intellectual property rights. This includes everything you build, design, configure, or upload using the Services.

3dverse does not acquire any ownership of your User Content and does not claim any rights in the outcomes or applications you create with the Services, beyond the limited license described below.

5.2 Limited License to 3dverse

You grant 3dverse a limited, non-exclusive, revocable, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display your User Content solely as necessary to:

  • Provide, operate, and maintain the Services

  • Secure the Services

  • Prevent or address technical or security issues

  • Comply with legal obligations

This license exists only to the extent necessary to operate the Services for you and your authorized users. It does not give 3dverse any right to commercially exploit your User Content or to claim ownership over it.

3dverse will not:

  • Use your User Content to train AI models

  • Use your User Content in marketing or promotional materials

unless you provide explicit written consent.

5.3 Collaboration and Sharing

When you share User Content with Collaborators, within an Organization, or make it accessible via links or other sharing mechanisms in the Services:

  • You authorize those users to access and use that content as permitted by the Services and your settings.

  • You are solely responsible for ensuring that you have the necessary rights and permissions to share that content.

  • Any intellectual property or licensing arrangements between you, your Organization, and your Collaborators are strictly between those parties.

3dverse does not arbitrate disputes regarding ownership or rights in User Content.

5.4 Accuracy and Legality

You represent and warrant that:

  • You have all necessary rights to upload, store, and process User Content through the Services;

  • Your User Content and your use of the Services will not infringe any third-party rights or violate any law.

5.5 Feedback

If you provide us with any feedback, suggestions, bug reports, or enhancement requests regarding the Services (“Feedback”), you grant 3dverse a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without any obligation or compensation to you.

6. Developer Tools (APIs, SDKs)

3dverse may provide APIs, SDKs, and other developer tools as part of the Services.

You may use these tools solely:

  • In accordance with applicable documentation and any additional developer terms;

  • To develop integrations or applications that interact with the Services for your own internal use or as allowed under your agreement with 3dverse.

You may not use APIs or SDKs to:

  • Circumvent security or access controls;

  • Interfere with the normal operation of the Services;

  • Build or train a competing platform or service.

3dverse may update, limit, or discontinue APIs or SDKs at any time.

7. Production Use and Licensing

By default, all Environments are considered development, testing, evaluation, or demonstration environments.

A “Production Environment” is any Environment used for:

  • Real-world, operational workflows (internal or external);

  • Commercial or revenue-generating activities;

  • Providing services, content, or functionality to your customers or end users.

You may only use a Production Environment if:

  • You are on a paid subscription tier that expressly includes production rights; or

  • You have a separate Enterprise Agreement or Statement of Work with 3dverse that authorizes such use.

If we reasonably believe that you are using an Environment in production without the required rights, we may:

  • Provide you with notice (via email or Console alert) requiring you to regularize your usage (e.g., by upgrading your plan) within forty-eight (48) hours;

  • Restrict or suspend access to that Environment if you fail to take action within the notice period, or immediately if your usage causes technical instability or degrades the performance of the Services for other users.

7.3 Beta Services

From time to time, we may invite you to try features or products marked as "Beta," "Preview," or "Experimental." These features are provided for testing purposes only, may be unstable, and are not subject to any uptime guarantees or SLAs. We may discontinue Beta features at any time. 3dverse will have no liability for any harm or damage arising out of or in connection with a Beta Service.

7.4 End-User Access and Responsibilities

If you deploy applications or experiences that grant access to the Services to your own end-users (including customers, consumers, or the general public), you are solely responsible for all notices, terms, and compliance obligations applicable to those end-users. Such end-users do not have any direct rights or claims against 3dverse. You must ensure that your terms with those end-users are consistent with these Terms and that your end-users do not cause you to violate these Terms.

8. Subscriptions, Fees, and Taxes

Certain features or usage levels of the Services may require a paid subscription or separate agreement.

  • Fees, billing cycles, and available tiers are described on our website or in your specific agreement with 3dverse.

  • Fees are typically billed in advance and are non-refundable except where required by law or expressly stated otherwise.

  • We may adjust pricing or plan features, but will provide reasonable notice of material changes.

  • You are responsible for any applicable taxes, duties, or government charges.

If you fail to pay fees when due, we may:

  • Suspend or limit access to some or all of the Services;

  • Downgrade your usage to a free or lower tier;

  • Seek to collect unpaid amounts, including through third-party collection services where permitted.

9. Data Protection and Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

Our Privacy Policy is designed to be compliant with:

  • Québec Law 25

  • PIPEDA (Canada)

  • GDPR (European Union)

  • Applicable privacy laws in other jurisdictions where we operate

You are responsible for complying with all applicable privacy and data protection laws in relation to the personal data you process using the Services, including providing appropriate notices and obtaining any necessary consents from data subjects. 3dverse may process and transform User Content using optimization, rendering, and conversion algorithms solely as required to provide the Services, and not to train general-purpose machine learning or AI models.

10. Security

3dverse uses commercially reasonable technical and organizational measures to protect the security and integrity of the Services and User Content.

However, no online service can be guaranteed to be completely secure. You are responsible for:

  • Maintaining the security of your accounts, credentials, and devices;

  • Configuring appropriate access controls within your Personal Space, Organization, Projects, and Environments;

  • Promptly notifying us of any suspected unauthorized access or security incidents.

11. Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law or regulation;

  • Upload or transmit malicious code, viruses, or other harmful content;

  • Infringe or misappropriate the intellectual property, privacy, or other rights of third parties;

  • Attempt to bypass or defeat security or access controls;

  • Probe, scan, or test the vulnerability of any 3dverse system or network;

  • Interfere with or disrupt the integrity or performance of the Services;

  • Use the Services to develop or train a competing platform or product;

  • Use automated tools (such as bots, crawlers, or scrapers) in a manner beyond normal API use or that imposes unreasonable load on our infrastructure;

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We may suspend or terminate your access to the Services, or take other appropriate action, if we determine that you have violated this section.

11.1 Content Removal for Legal Compliance

If we receive a legally valid notice alleging that User Content violates applicable laws or infringes third-party rights, we may remove or disable access to such User Content as required to comply with the law. Where legally permitted, we will notify you so you can respond to the claim.

12. Third-Party Services and Integrations

The Services may integrate with, or provide links to, third-party products, services, or websites.

  • These third parties are not under our control.

  • 3dverse is not responsible for the availability, security, or performance of third-party services.

  • Your use of third-party services is subject to their separate terms and policies, not these Terms.

13. Availability, Changes, and Modifications to the Services

We aim to provide reliable Services but do not guarantee that:

  • The Services will be available at all times; or

  • The Services will be error-free or uninterrupted.

We may, at any time and without liability:

  • Change, update, or improve the Services;

  • Add or remove features or functionalities;

  • Impose or modify usage limits;

  • Discontinue parts of the Services.

If we discontinue a material feature or service, we will use commercially reasonable efforts to provide advance notice where practicable. Some aspects of the Services rely on third-party hosting and infrastructure providers, and availability may be affected by the performance or outages of those providers.

Any formal uptime or performance commitments, if any, will be set out in a separate written Service Level Agreement (SLA).

14. Termination, Data Retention, and Transfer

14.1 Your Right to Terminate

You may stop using the Services at any time and may request closure of your account by contacting us at the address or email listed below or via the Console where available.

14.2 Our Right to Suspend or Terminate

We may suspend or terminate your access to the Services if:

  • You materially breach these Terms;

  • You use the Services in a way that could cause harm to 3dverse, other users, or third parties;

  • We are required to do so by law or court order.

14.3 Data Retention and Deletion

For paid subscriptions or active enterprise agreements, 3dverse will not delete your User Content without your explicit written request or where contractually agreed upon.

For free or inactive accounts that have not accessed the Services for one hundred twenty (120) days, 3dverse may permanently delete User Content to free storage resources. We will attempt to notify you via the email associated with your account prior to deletion.

Once deletion occurs, User Content may not be recoverable.

14.4 Transfer and Export of User Content

Upon your written request, 3dverse will use commercially reasonable efforts to assist you in exporting or transferring User Content and relevant configuration necessary to operate your applications outside the Services.

  • The scope, format, and timeline of such export or transfer may be subject to technical limitations and security considerations.

  • 3dverse may charge reasonable professional services fees for extensive or custom transfer assistance.

15. Warranty Disclaimer

To the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to any warranties of:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

  • Quiet enjoyment

  • Accuracy, reliability, or availability

You assume all risk arising from your use of the Services.

16. Indemnification

You agree to defend, indemnify, and hold harmless 3dverse, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;

  • Your User Content (including any claim that your User Content infringes the intellectual property or privacy rights of a third party);

  • Your use of the Services, including any use by your Collaborators or authorized users.

17. Limitation of Liability

To the maximum extent permitted by law:

  • 3dverse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Services.

  • 3dverse’s total aggregate liability arising out of or relating to these Terms or the Services will not exceed the amount you paid to 3dverse for the Services during the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred (100) U.S. dollars if you have not paid any fees.

These limitations apply whether the claims are based on warranty, contract, tort (including negligence), or any other legal theory, even if an exclusive remedy is found to have failed of its essential purpose.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

18. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or with the Services will be governed by and construed in accordance with the laws of:

  • The Province of Québec, and

  • The federal laws of Canada applicable therein,

without regard to conflict of laws rules.

You agree that any legal proceedings arising out of or relating to these Terms or the Services will be brought exclusively in the courts located in Montréal, Québec, Canada, and you consent to the personal jurisdiction of such courts.

19. Branding and Publicity

You may not use 3dverse’s name, trademarks, or logos in public communications, press releases, or marketing materials without our prior written approval, except where expressly permitted as part of a partner or licensing program.

20. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the “Last Updated” date above and, where appropriate, provide additional notice (for example, by displaying a banner in the Console or sending an email).

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
